TERMS AND CONDITIONS
The User accepts and acknowledges the following "Terms and Conditions," which apply to all Users ("User") for all use of the kenscent.com website.
KEN SCENT is a trademark owned by Ken Scent S.p.a.
Ken Scent Spa, with registered office and administrative headquarters at Via Aldo Moro 45, Quarto D'Altino (VE), VAT number 04735350276, is a provider of coaching, consulting, and professional training services.
Article 1 - GENERAL PROVISIONS
1.1. These general terms and conditions, available to consumers for reproduction and storage pursuant to Article 12 of Legislative Decree No. 70/2003, concern the purchase of decision-making coaching services through the Ken Scent online platform;
1.2. An online sales contract means a distance contract, i.e., a legal transaction for decision-making coaching services, entered into between Ken Scent Spa and an end consumer—customer or other professional users—as part of an online distance selling system organized by Ken Scent Spa.
1.3 A consumer is a natural person (Private User) who purchases goods and services for purposes not directly or indirectly related to their professional activity.
1.4 A professional user (Professional or Company) is a natural or legal person who purchases goods and services for purposes directly or indirectly related to their professional activity.
Art. 2 – TERMS OF SALE
2.1. These general terms and conditions are effective as of January 21, 2026 and may be updated at any time by Ken Scent Spa, which will provide notice via the website, and will be valid from that moment on.
2.2. All contracts will be concluded through access by the consumer, customer, or professional user to the website or the corresponding landing page, where they must carefully follow the instructions and procedures provided.
2.3. These general conditions of sale must be reviewed online by the user before booking or purchasing services, and in any case before creating a personal account on the kenscent.com website. Submitting a booking, order confirmation, or creating an account on the kenscent.com website implies full knowledge and acceptance of these terms and conditions.
2.4. By booking online or sending an electronic order confirmation, the customer or professional user unconditionally accepts and undertakes to comply with the general terms and conditions and payment terms set forth below in their dealings with Ken Scent Spa. They declare that they have read and accepted all the information provided pursuant to the aforementioned provisions, and further acknowledge that Ken Scent Spa does not consider itself bound by any other terms unless previously agreed in writing.
2.5 Sales transactions for consumers are governed by the provisions of Legislative Decree no. 206/2005 (Consumer Code), while privacy protection is subject to the provisions of Legislative Decree no. 196 of 30/06/2003 and EU Regulation 679/2016, as amended. Art. 3 – METHODS OF PURCHASING SERVICES
3.1. The services and terms of sale on the kenscent.com website constitute a public offer for consumers and professional users. Acceptance of the contract is required to conclude the contract. This acceptance is expressed by accurately completing all required information and registering online, following the online instructions, and confirming the boxes labeled "I ACCEPT THE PRIVACY POLICY AND TERMS OF SERVICE."
3.2. Customers will pay for services using the payment methods specified at the time of purchase.
Article 4 – KEN SCENT SERVICES
4.1. Ken Scent provides DECISION-MAKING ASSISTANCE services via videoconference through professional coaches.
Decision-Making Assistance is a coaching activity focused on improving the decision-making process; it helps individuals, professionals, and companies make decisions through a more robust process, greater understanding of their needs, and consideration of ethical aspects.
Videoconference sessions with Ken Scent professionals can be booked by the User through the website kenscent.com and do not require a periodic subscription to Ken Scent.
There are three types of users: Private User (Consumer), Professional User, and Corporate User. A Private User is a natural person requiring decision-making assistance on any personal matter. A Professional User is a manager, professional, or entrepreneur requiring decision-making assistance on specific matters related to their work. A Corporate User is a company requiring decision-making assistance to optimize its strategy and/or decision-making processes.
4.2 Once assigned to a Ken Scent team professional, Private Users must read and sign the Informed Consent to the processing of personal data and the Privacy Policy. If in doubt, the User may always request information from the assigned Ken Scent professional before signing up. Failure to sign the Privacy Policy will result in no service being provided. After signing the Informed Consent, a contractual relationship is established between the User and the assigned Professional. Private Users are entitled to payment in the form of a Voluntary Financial Contribution, or at the client's discretion and based on their level of satisfaction, according to the rates indicated on this page.
4.3 Once assigned to a Ken Scent team professional and following the initial successful introductory meeting, Professional Users must read and sign the Informed Consent to the processing of personal data and the Privacy Policy. If in doubt, the User may always request information from the assigned Ken Scent professional before signing up. Failure to sign the information will result in no service being provided. After signing the Informed Consent Form, a contractual relationship is established between the User and the assigned professional.
For Professional Users, the first videoconference meeting is free and for introductory purposes, while any subsequent meetings and/or sessions are subject to a fee. Rates for Professional Users are listed on this page and must be paid in advance.
4.4 Once assigned to a Ken Scent professional, and following the initial successful introductory meeting, the Business User may sign a specific supply contract.
For Business Users, the first videoconference meeting is free and for introductory purposes, while any subsequent meetings and/or services are subject to a specific contract with paid services.
Art. 5 – PAYMENTS
5.1 For services dedicated to Private Users with a Voluntary Financial Contribution option, the Customer may make a payment after the service has been provided and based on their level of satisfaction. If the Customer is dissatisfied with the service, they may refuse payment. If they are satisfied, they may choose between three different options: Fairly Satisfied, Satisfied, or Very Satisfied, with corresponding payment amounts visible on this page. The Customer expressly authorizes Ken Scent to send payment reminders via SMS, WhatsApp, and email to the contact details provided during the service booking process. Accepted payment methods are those indicated during the purchase process or bank transfer.
5.2 For services dedicated to Private Users with payment via company voucher, the User must enter the voucher code and the name of the company they work for.
5.3 Professional customers must always pay for services in advance and must make the payment at the time of purchase on the kenscent.com website, according to the instructions provided. Payment methods are those indicated during the purchase process.
5.4 Services dedicated to Business customers are governed by appropriate contracts with payment instructions.
Art. 6 – WARRANTIES AND RESPONSIBILITIES
6.1 The User must conduct videoconference sessions with the assigned Ken Scent professional in a private location where privacy is respected, without the presence of third parties. The professional-client relationship is an exclusive one, and all information and content of the sessions remain confidential within the framework of the trust relationship between the individual professional and the client.
6.2 Decision-Making Assistance never intervenes in the merits of Users' choices, nor does it influence their decisions, which are always made in complete freedom and without constraints. Ken Scent is never responsible for the validity or consequences of the choices made by Users, as they are always made in complete freedom and autonomy. Ken Scent only helps Users to thoroughly analyze decisions in the preliminary phase and to carry out a more robust, informed, and ethical decision-making process. Under no circumstances can Ken Scent be held responsible for the choices made by Users or their direct or indirect consequences.
6.3 Ken Scent does not provide psychotherapy services and is not responsible for the mental health of Users or for any behavior, harm, or consequences resulting from their behavior.
6.4 Ken Scent does not provide assistance in emergency situations such as suicide threats, injury to others, or personal injury. Ken Scent encourages users to consult this page, where they can find the appropriate emergency numbers for the circumstances.
6.5 Ken Scent Spa assumes no responsibility for disruptions attributable to force majeure, such as accidents, explosions, fires, strikes and/or lockouts, earthquakes, floods, and other similar events that prevent, in whole or in part, the agreed-upon execution of the contract.
6.6 Ken Scent Spa will not be liable to any party or third parties for damages, losses, and costs incurred as a result of the failure to perform the contract for the reasons mentioned above. The consumer is only entitled to a refund of the price paid.
6.7 Ken Scent Spa is not responsible for any fraudulent or illicit use by third parties of credit cards, checks, or other means of payment when paying for purchased products. At no point during the purchase process is Ken Scent Spa able to access the buyer's credit card number. At the time of payment, the buyer is connected to the banking service provider via a secure connection.
6.8 Ken Scent Spa selects its professionals through a selection interview and by verifying the accuracy of the information provided, such as by verifying professional registration, where applicable, and certifications. In the event of problems between a customer and a professional, Ken Scent Spa will verify the situation and promptly connect the customer with another professional on the team. Any problems can be reported on this page.
6.9 Ken Scent, pursuant to these terms of service, undertakes to manage and maintain the platform for the management of the relationship between the professional and the User (such as, but not limited to, access to the reserved area, booking and canceling appointments and sessions, payment management, communications between the Professional and the User via chat, the quality of the service offered, etc.). Professionals are responsible for the storage and protection of electronic documents and data provided by Users.
6.10 Ken Scent is not responsible for malfunctions or suspensions of its services due to third-party causes (including, but not limited to, malfunctions of the hosting, internet, email provider, etc.).
6.11 In the event that Ken Scent is held liable for malfunctions of its software platform, the parties agree that compensation for damages will be limited exclusively to the refund of amounts already paid for unused services, without the possibility of compensation for any further damages, direct or indirect.
Art. 7 – PURCHASER'S OBLIGATIONS
7.1. The consumer undertakes, once the online purchase process has been completed, to print and retain these general terms and conditions, which, moreover, he or she will have already reviewed and accepted as a mandatory step in the booking and purchase process, as well as the specifications of the service being purchased, in order to fully satisfy the conditions set forth in Legislative Decree no. 206/2005 (Consumer Code).
7.2. These general terms and conditions may be updated or modified at any time by Ken Scent Spa, which will provide notice of such changes via its website. The consumer undertakes and undertakes, whenever these general terms and conditions are modified, to print and retain them.
7.3. The buyer is strictly prohibited from entering false, invented, or fictitious information in the booking or registration process required to initiate the execution of this contract and any subsequent communications. Personal details and email address must be their own and not those of third parties or fictitious.
7.4. It is expressly prohibited to make duplicate registrations for the same person or enter third party information. Ken Scent Spa reserves the right to take legal action against any violation or abuse, in the interest and protection of all consumers.
7.5. The Customer indemnifies Ken Scent Spa from any liability arising from the issuance of incorrect tax documents due to errors in the data provided by the Customer, as the Customer is solely responsible for ensuring the correct entry of such data.
7.6 The User undertakes to communicate the need to modify or cancel the videoconference session through the booking process or via the contact form, with at least 24 hours' notice to Ken Scent. If a request to modify or cancel an online session is made with less than 24 hours' notice, the User will be required to pay for the session itself, except in exceptional circumstances or force majeure.
Art. 8 – RIGHT OF WITHDRAWAL
8.1. Pursuant to Art. 52 of Legislative Decree No. 206/2005, the consumer customer, for contracts concluded remotely or outside of business premises, has the right to withdraw within 14 days of the conclusion of the contract.
8.2 The professional-client relationship, by its very nature, is based on trust, usefulness, and the effectiveness of professional support. Therefore, these general terms and conditions of service govern the relationship between the customer and the professional, and between the customer and Ken Scent for the entire duration of the services.
8.3 The User has the right to withdraw from the services at any time. The User also has the right to contact Ken Scent customer service to report any problems or to request a new professional. For the same reasons, the professional may also terminate the relationship at any time, solely and exclusively for professional reasons or for reasons related to the client's interest. Ken Scent undertakes to provide the contact information of a new Professional within 5 business days. The Ken Scent Contact Center is not available on weekends.
8.4 In the event of a customer discontinuing services after the 14-day cancellation period expires, any amounts already paid will not be refunded, either in whole or in part.
8.5 In the event of a sudden discontinuation of services, at the customer's initiative, Ken Scent may send a feedback questionnaire that the customer can complete and submit at their discretion. Ken Scent values customer feedback in ensuring a high-quality service.
Art. 9 – AUTHORIZATIONS
9.1. By completing the appropriate space on the website, the Customer authorizes Ken Scent Spa to use their credit card, or another card issued in replacement, and to debit their current account in favor of Ken Scent Spa for the total amount shown as the cost of the online purchase. The entire process is conducted via a secure connection directly linked to the banking institution that owns or manages the online payment service, which Ken Scent Spa cannot access.
Article 10 – CONTRACT TERMINATION AND EXPRESS TERMINATION CLAUSE
10.1. Ken Scent Spa reserves the right to terminate the contract by notifying the customer via email, specifying the reason. In this case, the customer will only be entitled to a refund of any sums already paid for the services purchased.
10.2. The obligations undertaken by the customer pursuant to Article 6 (Buyer's Obligations), as well as the guarantee of successful payment, are essential. Therefore, by express agreement, the Customer's failure to comply with even one of these obligations will result in the automatic termination of the contract pursuant to Article 1456 of the Italian Civil Code, without the need for a judicial decision, without prejudice to Ken Scent Spa's right to take legal action for compensation for further damages.
10.3 In the case provided for in point 9.2, termination takes effect when the interested party declares that they are exercising the express termination clause, through written communication sent via email. Any other form of communication has no value for the purposes of this clause.
Article 11 - VIOLATIONS OF THE KEN SCENT TERMS AND CONDITIONS OF SERVICE
11.1 In the event of a violation of the Terms and Conditions by the User, Ken Scent reserves the right to suspend or block the User's access to the service, in whole or in part, temporarily or permanently, without notice and without reimbursement to the User or any third party for any amounts already paid. Ken Scent reserves the right to take legal action to enforce its rights.
Article 12 - DECLARATION OF PARTIAL INVALIDITY
12.1. A hypothetical declaration of partial invalidity, or of some of the clauses of the Ken Scent Terms and Conditions, Privacy Policy, or Cookie Policy, by a judicial authority, does not entail the invalidity of the entire contract. The latter shall remain valid for the clauses not declared invalid, which will continue to be fully effective and valid.
Article 13 - PRIVACY
13.1. Personal data is collected for the purpose of registering the customer and initiating the procedures for the execution of this contract and the related necessary communications. This data is processed electronically in compliance with applicable laws and may be disclosed only upon request by judicial authorities or other authorities authorized by law.

Art. 14 - EMERGENCY SITUATIONS
14.1 Ken Scent does not provide assistance in emergency situations such as suicide threats, injury to third parties or personal injury. Ken Scent invites the User to consult this page, where they can find the emergency numbers appropriate to their circumstances.
Art. 15 - USES AND PROHIBITIONS
15.1 The Customer uses the services and platform owned by Ken Scent Spa for the sole purpose of receiving the services covered by these terms and conditions of service. Any other use is prohibited.
15.2. Customers may not, by way of example and without limitation, in any way:
• Reverse engineer, decompile, disassemble, modify, or create derivative works based on Ken Scent Spa's proprietary software.
• Circumvent computer systems to access sections of the site without authorization.
• Copy, store, modify, change, prepare derivative works, or alter in any way any Ken Scent Spa content.
• Use any robot, spider, site search/retrieval application, or other automatic device, process, or means to access, retrieve, scrape, or index any portion of the web app or its contents.
• Use Ken Scent Spa's know-how, materials, ideas, images, text, format, or scripts to create similar or derivative services.
• Allow access to your reserved area by third parties not party to this agreement.
• Disclose or share the contents of the reserved area with third parties not party to this agreement.
• Use the service for purposes other than those declared, whether for profit or not.
Ken Scent Spa reserves the right to prosecute any unlawful act committed in violation of this clause.
Article 16 – APPLICABLE LAW AND JURISDICTION
16.1 Any dispute relating to the application, execution, interpretation, and violation of purchase contracts entered into online through the Ken Scent Spa website(s) is subject to Italian law; these general conditions, unless otherwise specified, are governed by the provisions of Legislative Decree no. 206/2005.
16.2. Any dispute between the parties regarding this contract shall be subject to the jurisdiction of the court in the district in which the consumer is domiciled, in accordance with applicable law. For all other customers (foreign or non-consumers), it is agreed that any dispute, even in derogation of the rules regarding territorial jurisdiction, shall be subject to the exclusive jurisdiction of the Court of Venice.
